These Terms of Use and Learning Platform Terms (“Terms”) govern access to and use of the GenAI Talent website located at courses.genaitalent.com, including its learning-management system, courses, workshops, assessments, coding exercises, notebooks, projects, certificates, downloadable materials, and related functionality (collectively, the “Platform”).
The Platform is operated by Accelerated Innovation Group LLC, doing business as Accelerated Innovation (“Accelerated Innovation,” “we,” “us,” or “our”).
“GenAI Talent” is the name used for the Platform and its related learning programs. References to GenAI Talent in these Terms refer to programs and services operated by Accelerated Innovation Group LLC.
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and the Platform Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.

Access to the Platform is generally provided under an agreement between Accelerated Innovation and the learner's employer, sponsoring organization, or another client organization.
The applicable statement of work, master services agreement, order form, proposal, or other written agreement between Accelerated Innovation and the client organization may establish terms including:
These Terms apply to each individual learner's use of the Platform.
If these Terms conflict with a signed agreement between Accelerated Innovation and a client organization, the signed agreement will control with respect to the commercial services covered by that agreement. These Terms will continue to govern matters relating to individual Platform use, learner conduct, account security, intellectual property, and acceptable use unless the signed agreement expressly provides otherwise.
The Platform is intended for adult business professionals and is not intended for use by minors.
You must be at least 18 years old and legally capable of agreeing to these Terms to use the Platform.
By accessing the Platform, you represent that:
If we learn that an account was created for a person under 18, we may suspend or terminate the account and delete associated information as appropriate.
Learner accounts are created by Accelerated Innovation based on information provided by an employer, sponsoring organization, program administrator, or other authorized client representative.
Individuals cannot currently purchase courses or independently create learner accounts through the Platform.
Enrollment in a course or program does not create a consulting, employment, fiduciary, partnership, joint venture, or other professional relationship between the learner and Accelerated Innovation.
Enrollment is personal to the authorized learner and may not be transferred or shared unless Accelerated Innovation approves a substitution under the applicable client agreement.
Accelerated Innovation creates individual learner accounts and provides or facilitates the credentials needed to access the Platform.

You are responsible for activity conducted through your account unless the activity resulted from a security failure controlled solely by Accelerated Innovation.
We may require password changes, multifactor authentication, or other security measures at any time.
The duration of a learner's access is determined by the applicable client agreement or statement of work.
Access may begin and end on dates established by Accelerated Innovation and the sponsoring organization.
At the end of the applicable access period:
Learners are responsible for completing required work and downloading any materials they are permitted to retain before access expires.
Accelerated Innovation is not required to extend access unless an extension is authorized under the applicable client agreement.
The Platform uses Moodle as its learning-management system.
Moodle may be used to provide:
Features may vary by course or program.
Accelerated Innovation may update, reorganize, replace, or discontinue Platform features when reasonably necessary to maintain or improve the learning experience.
Certain courses connect to Codio.com or other third-party technology environments that host:
Your use of Codio or another third-party environment may also be subject to that provider's terms, acceptable-use rules, and privacy policy.
You agree not to use a connected coding environment to:
Accelerated Innovation is not responsible for interruptions, errors, data loss, changes, or service limitations caused by a third-party platform.
Each course, learning pathway, or certification program may have specific completion requirements.
Requirements may include:
Simply accessing a course or viewing some course materials does not guarantee completion.
Course completion and eligibility for certification are determined by Accelerated Innovation based on the requirements applicable to the learner's program.
Accelerated Innovation reviews completion status on a learner-by-learner and course-by-course basis.
Automated indicators within Moodle, Codio, or another system may support this review but do not, by themselves, guarantee that a course or certification requirement has been satisfied.
Accelerated Innovation may consider:
We may request additional information or require a learner to repeat, correct, or complete an activity when the available evidence does not demonstrate that a requirement has been met.
Accelerated Innovation's determination concerning completion or certification eligibility is final unless the applicable client agreement provides a separate review procedure.
Learners are expected to complete assessments and required work honestly and in accordance with course instructions.
Unless a course expressly permits collaboration, you may not:
Accelerated Innovation may investigate suspected misuse, require work to be repeated, withhold completion, revoke a certificate, or suspend access when there is reasonable evidence of misconduct.
Unless course-specific instructions state otherwise, learners may use generative artificial intelligence tools to support their learning and completion of course activities.
Learners remain responsible for:
Use of an AI tool does not excuse inaccurate, insecure, infringing, incomplete, or noncompliant work.
You must not submit confidential employer, client, proprietary, regulated, or sensitive information to an external AI service unless you have authorization to do so.
Accelerated Innovation may add course-specific AI-use instructions when needed for a particular assessment, client engagement, or certification requirement.
Accelerated Innovation may issue certificates or other credentials to learners who satisfy the applicable requirements.
A certificate may indicate:

Certificates are issued based on the information available at the time of review.
Accelerated Innovation may withhold, correct, suspend, or revoke a certificate if it determines that:
Accelerated Innovation currently issues its own certificates. We may use a third-party credentialing provider, such as Credly, in the future. Use of a third-party credentialing service may be subject to that provider's separate terms and privacy practices.
Unless expressly stated in writing, courses and certificates offered through the Platform:
Learners and sponsoring organizations are responsible for determining whether a course or certificate meets their particular needs.
“Learner Materials” means original code, notebooks, written responses, capstone submissions, project files, feedback, and other original materials created and submitted by a learner through the Platform.
As between the learner and Accelerated Innovation, the learner retains ownership of the learner's original intellectual-property rights in Learner Materials, subject to:
By submitting Learner Materials, you grant Accelerated Innovation a nonexclusive, worldwide, royalty-free license to host, store, reproduce, display, transmit, review, evaluate, test, and otherwise use the materials as reasonably necessary to:
This license continues for as long as reasonably necessary for those purposes.
Accelerated Innovation will not publicly identify a learner as the creator of Learner Materials or use identifiable Learner Materials in public marketing without appropriate permission.
A learner's employer or sponsoring organization may have ownership, confidentiality, contractual, or other rights concerning work created by the learner.
These Terms do not alter those rights.
Learners are responsible for understanding and complying with:
Learners should not submit employer or client information to the Platform unless authorized.
Accelerated Innovation is not responsible for resolving ownership disputes between a learner and the learner's employer, client, or sponsoring organization.
The Platform and its course content are owned by Accelerated Innovation or used under license.
Protected materials may include:
These materials are protected by copyright, trademark, trade-secret, contract, and other applicable laws.
Subject to these Terms and the applicable client agreement, Accelerated Innovation grants each authorized learner a limited, revocable, nonexclusive, nontransferable license to access and use assigned course materials solely for the learner's individual educational and internal business purposes during the authorized access period.
No ownership rights are transferred to the learner.
Unless Accelerated Innovation expressly authorizes otherwise in writing, you may not:
Learners may retain materials that are expressly made downloadable, subject to any notices or licenses accompanying those materials.
Limited quotations may be used for lawful internal or educational purposes with appropriate attribution, provided that they do not disclose assessment content, answer keys, or substantial portions of proprietary materials.
Courses may use or reference:
Those materials may be governed by separate licenses, terms, attribution requirements, usage restrictions, or privacy policies.
You are responsible for complying with the terms applicable to third-party materials you use.
The inclusion of third-party content does not transfer ownership to Accelerated Innovation and does not mean Accelerated Innovation endorses every statement, feature, or practice of the third party.
Third-party materials are provided without warranties from Accelerated Innovation.
The Platform may add an AI-enabled assistant, chatbot, recommendation tool, or other automated feature in the future.
If such a feature is introduced:
Additional terms or notices may be presented when an AI-enabled feature becomes available.
You may use the Platform only for lawful participation in the course or program for which you are enrolled.
You may not:
Any communication feature made available through the Platform must be used professionally and respectfully.
Learners may not submit or transmit content that is:
We may remove content, restrict communication features, notify the sponsoring organization, or suspend access when reasonably necessary to address inappropriate conduct.
If you voluntarily provide ideas, suggestions, comments, survey responses, or other feedback regarding the Platform or its courses, you grant Accelerated Innovation a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable right to use, reproduce, adapt, analyze, publish, and otherwise use that feedback for lawful business purposes.
We are not required to compensate or credit you for using feedback.
This section does not transfer ownership of Learner Materials or confidential information governed by a separate written agreement.
Accelerated Innovation may provide technical and administrative support for Platform access.

Learners should provide enough information to identify and troubleshoot the issue but should not send passwords or sensitive information by email.
We seek to maintain reasonable Platform availability but do not guarantee uninterrupted or error-free access.
Access may be affected by:
We may modify, suspend, restrict, or discontinue a Platform feature when reasonably necessary.
When practical, we may provide notice of planned changes that materially affect active learners. However, we are not responsible for interruptions or delays outside our reasonable control.
Learners are responsible for obtaining and maintaining:
Course functionality may not work properly on every device, browser, network, or security configuration.
Accelerated Innovation is not responsible for limitations caused by a learner's equipment, employer network, firewall, browser settings, or third-party software.
Our collection, use, disclosure, retention, and protection of personal information are described in the GenAI Talent Privacy Policy.
The Privacy Policy may address information including:
By using the Platform, you acknowledge the practices described in the Privacy Policy.
Accelerated Innovation may restrict, suspend, or terminate a learner's access if we reasonably believe that the learner:
When appropriate, we may notify the sponsoring organization.
Suspension or termination may result in:
Provisions that by their nature should survive termination will remain effective, including provisions concerning intellectual property, learner submissions, disclaimers, liability, indemnification, governing law, and dispute resolution.

Accelerated Innovation does not guarantee that participation will result in:
Outcomes depend on factors including learner participation, prior knowledge, technical environment, organizational support, data quality, implementation decisions, and other circumstances outside our control.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM, COURSE CONTENT, CODING ENVIRONMENTS, CERTIFICATES, THIRD-PARTY MATERIALS, AND RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
ACCELERATED INNOVATION DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF:
WE DO NOT WARRANT THAT:
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS. IN THOSE JURISDICTIONS, THESE EXCLUSIONS APPLY ONLY TO THE EXTENT PERMITTED BY LAW.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACCELERATED INNOVATION GROUP LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES.
THIS INCLUDES DAMAGES ARISING FROM OR RELATING TO:

THE APPLICABLE CLIENT AGREEMENT MAY ESTABLISH DIFFERENT LIABILITY TERMS BETWEEN ACCELERATED INNOVATION AND THE CLIENT ORGANIZATION.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Accelerated Innovation Group LLC and its members, managers, officers, employees, contractors, agents, affiliates, licensors, and service providers from claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
This obligation does not apply to the extent a claim results solely from Accelerated Innovation’s unlawful conduct.
Accelerated Innovation may assume control of the defense of a matter subject to indemnification, and you agree to cooperate reasonably with that defense.

These Terms and disputes arising out of or relating to the Platform will be governed by the laws of the State of Georgia, without regard to conflict-of-laws principles.
The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Unless applicable law or a controlling client agreement requires otherwise, legal actions arising out of or relating to these Terms or the Platform must be brought exclusively in:
You consent to the personal jurisdiction of those courts and waive objections based on improper venue or inconvenient forum.
Nothing prevents Accelerated Innovation from seeking injunctive relief in a court with appropriate jurisdiction to protect intellectual property, confidential information, systems, or legal rights.
We may revise these Terms to reflect changes in:
When we revise the Terms, we will update the “Last Updated” date.
We may provide additional notice of material changes through the Platform, email, or the sponsoring organization.
Unless otherwise stated, revised Terms become effective when posted or presented to the learner.
Continued use of the Platform after the revised Terms become effective constitutes acceptance of the revised Terms.
Material changes to a client organization’s commercial rights will continue to be governed by the applicable client agreement.

You are responsible for keeping your email address current and reviewing Platform notices.
Electronic records and communications may satisfy legal writing and notice requirements to the extent permitted by law.
If a provision of these Terms is held invalid, illegal, or unenforceable, it will be enforced to the greatest extent permitted or modified to reflect its intended purpose as closely as possible.
The remaining provisions will remain in effect.
A failure or delay by Accelerated Innovation to enforce a provision does not waive that provision or any other right.
A waiver is effective only when made in writing by an authorized Accelerated Innovation representative.
You may not assign or transfer your rights or obligations under these Terms without our written consent.
Accelerated Innovation may assign these Terms in connection with a merger, acquisition, restructuring, financing, sale of assets, change of control, or other lawful business transaction.
These Terms and the Platform Privacy Policy constitute the agreement between an individual learner and Accelerated Innovation regarding use of the Platform.
They do not replace the applicable agreement between Accelerated Innovation and the learner’s employer or sponsoring organization.
If a signed client agreement conflicts with these Terms, the client agreement controls between Accelerated Innovation and that client to the extent of the conflict.
